These Master Terms and Conditions (“Terms”) form a unilateral agreement between WhiteMountainINFO.com (“Marketplace,” “we,” “our,” or “us”) and any person or entity accessing or using our marketplace website, applications, or services (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms in full. If you do not agree, do not use the Platform. Marketplace may update or modify these Terms at any time and at its sole discretion, and your continued use constitutes acceptance of all changes.
 

Eligibility
  1. Users must be 18 years of age or older (or the legal age in their jurisdiction).

  2. Vendors must be legally authorized to sell goods or services.

  3. Marketplace may refuse or revoke access at any time and for any reason.
     

Account Registration
  1. Users must register for an account to buy or sell on the Platform.

  2. You agree to provide accurate, complete, and current information at all times.

  3. You are fully responsible for maintaining the confidentiality of your account and password.

  4. Marketplace may unilaterally suspend or terminate any account at its discretion.
     

Vendor Responsibilities
  1. Vendors are solely responsible for:

    • Product legality, accuracy, safety, and quality

    • Proper fulfillment, delivery, and customer service

    • Compliance with all laws, regulations, and permits applicable to their business

  2. Vendors must collect, report, and remit all applicable sales taxes to the proper authorities. Marketplace assumes no tax liability or collection obligation on behalf of vendors.

  3. Vendors grant Marketplace a non-exclusive, royalty-free, worldwide license to use their listings, logos, and materials for marketing and platform operations.

  4. Marketplace may remove listings, suspend accounts, or withhold payouts for policy violations or suspected illegal activity.

Independent Contractor Relationship
  1. Vendors acknowledge and agree that they are operating as independent contractors, not employees, agents, partners, or representatives of Marketplace.

  2. Nothing in these Terms creates a partnership, joint venture, or employment relationship.

  3. Vendors are not entitled to employee benefits, including wages, insurance, or workers’ compensation.

  4. Vendors are solely responsible for:

    • Business registration, licensing, and insurance

    • Payment of all applicable income, business, and self-employment taxes

    • Compliance with labor, wage, and employment laws

  5. Vendors may not represent themselves as Marketplace employees or agents and must not bind Marketplace to any obligation.

  6. Vendors bear all business risk associated with their activities and agree that Marketplace is not liable for their operations or representations.

Payment Processing, Fees, and Vendor Payouts
  1. All transactions are processed exclusively through Marketplace’s payment processor. Vendors may not process payments independently.

  2. Marketplace charges a processing fee per completed transaction, either as a flat rate or percentage of the sale.

  3. A transaction is “complete” when:

    • Buyer payment has successfully cleared; and

    • The vendor has fulfilled the order or service.

  4. Marketplace will release funds to vendors after deducting processing fees, chargebacks, and adjustments.

  5. Marketplace may delay or withhold payouts for suspected fraud, disputes, or policy violations.

  6. Vendors acknowledge that Marketplace has full discretion over payout timing, method, and adjustments.

Buyer Terms
  1. Buyers must provide accurate information and comply with applicable laws.

  2. Purchases are final unless otherwise determined by Marketplace policy or vendor agreement.

  3. Marketplace may cancel or block orders at its discretion.

Platform Services
  1. Marketplace provides an online platform for connecting vendors and buyers.

  2. Marketplace is not a party to transactions and assumes no responsibility for vendor performance or product quality.

  3. Marketplace does not guarantee sales or outcomes.

Orders, Pricing, and Taxes
  1. Vendors set their own prices; Marketplace may adjust displayed prices for technical or promotional reasons.

  2. Vendors are fully responsible for tax collection, remittance, and compliance.

  3. Marketplace may collect certain tax information for regulatory reporting as required by law.

Prohibited Items

Vendors may not list or sell items that:

  1. Violate local, state, or federal law;

  2. Are counterfeit, stolen, or infringe intellectual property;

  3. Include obscene, pornographic, or discriminatory material; or

  4. Include firearms, explosives, drugs, or regulated hazardous goods without authorization.
    Marketplace reserves the right to remove prohibited items and terminate accounts without notice.

Copyrighted and Intellectual Property Materials
  1. Vendors may only list, upload, or sell materials for which they own or hold valid commercial rights.

  2. Vendors may not reproduce, distribute, or sell:

    • Copyrighted works (art, text, images, videos, etc.) without permission;

    • Trademarked products or logos without authorization; or

    • Counterfeit or “inspired” designs that infringe others’ rights.

  3. Vendors must maintain proof of ownership or licensing and provide it upon request.

  4. Marketplace may remove infringing listings, suspend vendors, or share identifying information as required by law.

  5. Vendors shall indemnify and hold Marketplace harmless from all claims, damages, and legal costs arising from alleged or actual infringement.

  6. Marketplace complies with the Digital Millennium Copyright Act (DMCA) as detailed below.

DMCA Policy
  1. Marketplace complies with the DMCA (17 U.S.C. § 512) and respects all valid copyright claims.

  2. Rights holders may submit a takedown request including:

    • Identification of the copyrighted work and the infringing material;

    • Contact details of the claimant;

    • A statement of good faith belief and perjury declaration;

    • Signature (physical or electronic) of the rights holder or representative.

  3. Notices should be sent to:

  4. Vendors may submit a counter-notice under DMCA guidelines. If valid, the content may be reinstated unless legal action follows.

Intellectual Property (General)
  1. All content, branding, and technology on the Platform are owned by Marketplace or its licensors.

  2. Users may not copy or use Marketplace trademarks or software without permission.

  3. Vendors grant Marketplace a license to use listings and branding for platform operations and marketing.

Refunds, Returns, and Disputes
  1. Vendors must follow Marketplace’s refund and return policies, which may be updated unilaterally.

  2. Marketplace may mediate disputes at its discretion but is not required to resolve them.

  3. Marketplace may adjust payouts based on refunds or chargebacks.

Dispute Resolution
  1. Vendors and buyers should attempt direct resolution first.

  2. All disputes arising out of or relating to these Terms shall be resolved through binding arbitration under the rules of [Arbitration Organization].

  3. These Terms are governed by the laws of [State/Jurisdiction], and Marketplace may designate venue.

Limitation of Liability
  1. Marketplace is not liable for:

    • Vendor or buyer actions;

    • Product defects or damages;

    • Lost profits, data, or business opportunities.

  2. All warranties are disclaimed to the fullest extent permitted by law.

  3. Marketplace’s total liability is limited to fees paid to Marketplace in the prior six (6) months.

Indemnification

Users agree to indemnify, defend, and hold harmless Marketplace, its officers, and affiliates from any claim, loss, or expense arising from user conduct, violation of law, or breach of these Terms.

Termination

Marketplace may suspend, limit, or terminate accounts at any time.
Termination does not affect accrued rights or obligations.

Privacy

Personal data is governed by the Marketplace Privacy Policy, which users agree to by using the Platform.

18. Modifications

Marketplace may unilaterally modify these Terms at any time without notice. Continued use constitutes acceptance.

Miscellaneous
  1. Entire Agreement – These Terms are the complete agreement between Marketplace and users.

  2. Severability – Invalid provisions do not affect the remainder.

  3. Waiver – Marketplace’s failure to enforce a term does not waive its rights.

  4. Force Majeure – Marketplace is not liable for delays due to causes beyond its control.

By accessing or using WhiteMountainINFO.com, you acknowledge and agree to these Terms unconditionally, including all clauses regarding independent contractor status, payment processing, processing fees, tax responsibilities, copyright compliance, and Marketplace’s unilateral authority.
